Lucrative compensation packages for senior management of companies in Chapter 11 have become major issues in bankruptcy proceedings. Are the compensation programs designed to retain and incentivize management employees whose services are necessary for the success of the reorganization? Or are they simply disguised bonus plans for senior management? There has been much litigation recently in such cases as Hostess Bakeries, ResCap, and Hawker Beechcraft. What is the role of the US Trustee and of the creditors committee in these disputes? What are the lessons learned from recent court decisions?
